Pi Health Inc. (“Pi Health” or “we” or “us”) operates and maintains the Pi Health website available at www.pihealth.ai (the “Site”). These Terms of Use (these “Terms”) govern your access to and use of the Site. You must read the entirety of these Terms carefully as they constitute a binding legal agreement between Pi Health and you.
These Terms contain provisions that limit our liability to you.
By accessing or using the Site, you affirm that:
- You have read and understand these Terms.
- You will fully comply with these Terms.
- You are of legal age to enter into these Terms or, if you are not of legal age, you have obtained parental or guardian consent to enter into these Terms.
If you do not agree with these Terms, you may not access or use the Site or any content, features, functionality, or services offered on or through the Site.
These Terms are in respect of the Site only and do not apply to any written agreement or other terms regarding our software, products, or services, including our FICS platform.
1. General Disclaimers
1.1 Reliance on Information
The Site is intended to provide information about Pi Health and our research, development, and commercialization activities. The Site is in no way intended to replace professional medical care or attention by a qualified practitioner. Information provided on or through the Site cannot and should not be used as a basis for diagnosis or choice of treatment.
1.2 Not Medical Advice
No information available on or through the Site shall be construed as medical advice or used for the treatment of any medical condition. Neither Pi Health nor its affiliates or any third party shall be liable for any advice rendered in connection with the use of any information on the Site. Pi Health does not recommend or endorse any specific tests, medications, products, services, treatments, therapies, or procedures. Users should always consult a healthcare professional.
2. Changes to These Terms
We may change these Terms at any time. If we make changes, we will notify you (such as by posting a notice on the Site or sending an email). If any change is not acceptable to you, you shall cease using the Site.
3. Privacy
Your submission of information through the Site is governed by our Privacy Policy. You represent and warrant that any information you provide is and will remain accurate and complete.
4. Our Ownership of the Site
Pi Health and Related Parties retain sole and exclusive ownership of all worldwide right, title, and interest, including all copyrights, patent rights, trade secret rights, and other intellectual property rights, in and to the Site. Any unauthorized use is strictly prohibited and may result in civil and/or criminal penalties.
4.1 Content
The Site contains features, information, and other material (collectively, the “Content”). Such Content is protected by United States and foreign intellectual property laws.
4.2 Trademarks
The trademarks, trade names, service marks, logos, and other identifiers used on the Site are registered or unregistered Marks of Pi Health or its subsidiaries or affiliates. You may not use these Marks without express prior written consent.
4.3 Copyrights
All Content is copyrighted unless otherwise noted and may not be used without express written permission of Pi Health.
4.4 Third Party Materials; Links
Certain Site functionality may provide access to Third Party Materials. We neither control nor endorse any Third Party Materials.
Your use of Third Party Materials is solely at your own risk.
4.5 Social Networking Site
You may share Content via social media services. Pi Health shall have no liability for the privacy practices of Social Networking Providers.
5. Use of the Site; Grant of License
Subject to these Terms, Pi Health grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited personal license to access the Site for lawful personal and noncommercial uses. You agree not to:
- Impose unreasonable load on Site infrastructure;
- Interfere with the Site;
- Decompile or reverse engineer Site software;
- Delete or alter material on the Site; or
- Frame or link to Site materials.
6. User Data
You retain ownership of any communications or material you submit through the Site (“User Data”). User Data will be treated as non-confidential and non-proprietary.
6.1 Licenses
You grant Pi Health a non-exclusive, royalty-free, perpetual, worldwide, irrevocable, transferable license to use any User Data in accordance with our Privacy Policy.
7. Disclaimer of Warranties; Limitation of Liability
7.1 No Warranties
The Site, Content, and Third Party Materials are provided on an “as is”, “where is”, and “where available” basis, without any warranties of any kind.
7.2 Limitation of Liability
In no event shall Pi Health be liable for any damages whatsoever (including incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the Site.
7.3 State Limitations
Some states do not allow the disclaimer or exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such states, liability shall be limited to the greatest extent permitted by law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Pi Health from and against any claims arising out of your use of the Site or your breach of these Terms.
9. Limitation on Time to File Claims
Any cause of action must be brought within one (1) year after it accrues, or be permanently barred.
10. Jurisdictional Issues
The Site is controlled from the United States. Any use outside the US is at your own risk and you must comply with all applicable laws.
11. Termination
Pi Health reserves the right to restrict, suspend, or terminate your access at any time for any reason without prior notice or liability.
12. Compliance with Laws
You are solely responsible for ensuring compliance with the laws of your jurisdiction, including export restrictions.
13. U.S. Government Restricted Rights
Content is provided with “RESTRICTED RIGHTS” per 48 CFR 52.227-19 and 48 CFR 252.227-7013.
14. Arbitration
All disputes will be resolved through final and binding arbitration before the American Arbitration Association under its Consumer Arbitration Rules.
Class arbitrations and class actions are not permitted.
15. Filtering
Parental control protections are commercially available that may assist in limiting access to harmful material.
16. Miscellaneous
16.1 Governing Law
These Terms are governed by the laws of the State of Massachusetts.
16.2 Severability
Invalid provisions shall not affect the validity of remaining provisions.
16.3 No Waiver
Failure to enforce any provision shall not be construed as a waiver.
16.4 Entire Agreement
These Terms constitute the entire agreement between you and Pi Health with respect to the Site.
16.5 Assignment
You may not assign your rights without our consent. Pi Health may assign its rights without restriction.
16.6 Electronic Notices
We may send you notice via email or through the Site.
