Pi Health Inc. (“Pi Health” or “we” or “us”) operates and maintains the Pi Health website available at www.pihealth.ai (the “Site”). These Terms of Use (these “Terms”) govern your access to and use of the Site. You must read the entirety of these Terms carefully as they constitute a binding legal agreement between Pi Health and you.

THESE TERMS CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU.

BY ACCESSING OR USING THE SITE, YOU AFFIRM THAT:

THESE TERMS ARE IN RESPECT OF THE SITE ONLY AND, UNLESS EXPRESSLY SPECIFIED OTHERWISE BY PI HEALTH, DO NOT APPLY IN ANY REGARD TO, OR REPLACE OR SUPERSEDE, ANY WRITTEN AGREEMENT OR OTHER TERMS OR CONDITIONS OF USE REGARDING OUR SOFTWARE, PRODUCTS, OR SERVICES, INCLUDING, BUT NOT LIMITED TO, OUR FICS PLATFORM. USE OF OUR FICS PLATFORM OR ANY OTHER SOFTWARE, PRODUCTS, AND SERVICES OFFERED BY US (WHETHER OR NOT THROUGH THE SITE) WILL BE SUBJECT TO A SEPARATE END USER OR OTHER PRODUCT OR SERVICES AGREEMENT AND SUCH OTHER AGREEMENT WILL CONTROL WITH RESPECT TO YOUR USE OF SUCH OTHER SOFTWARE, PRODUCT, OR SERVICE.

1. GENERAL DISCLAIMERS

1.1 RELIANCE ON INFORMATION. THE SITE IS INTENDED TO PROVIDE INFORMATION ABOUT PI HEALTH AND OUR RESEARCH, DEVELOPMENT, AND COMMERCIALIZATION ACTIVITIES AND INFORMATION REQUIRED BY APPLICABLE LAWS AND REGULATIONS. THE SITE IS IN NO WAY INTENDED TO REPLACE PROFESSIONAL MEDICAL CARE OR ATTENTION BY A QUALIFIED PRACTITIONER. INFORMATION AND OTHER CONTENT PROVIDED ON OR THROUGH THE SITE CANNOT AND SHOULD NOT BE USED AS A BASIS FOR DIAGNOSIS OR CHOICE OF TREATMENT. YOU ACKNOWLEDGE THAT PI HEALTH ASSUMES NO RESPONSBILITY FOR THE RISKS ASSOCIATED WITH YOUR RELIANCE ON ANY INFORMATION MADE AVAILABLE ON OR THROUGH THE SITE.

NO INFORMATION AVAILABLE ON OR THROUGH THE SITE, INCLUDING INSTRUCTIONS ON THE ACCURATE USE OF PI HEALTH'S OR ITS LICENSORS' OR SUPPLIERS' DRUGS OR DRUG CANDIDATES, AMONG OTHER THINGS, SHALL BE CONSTRUED AS MEDICAL ADVICE OR USED FOR THE TREATMENT OF ANY MEDICAL CONDITION. NEITHER PI HEALTH NOR ITS AFFILIATES OR ANY THIRD PARTY SHALL BE LIABLE FOR ANY ADVICE RENDERED IN CONNECTION WITH THE ACCESS OR USE OF ANY INFORMATION ON OR THROUGH THE SITE. WITHOUT LIMITATION, PI HEALTH DOES NOT RECOMMEND OR ENDORSE ANY SPECIFIC TESTS, MEDICATIONS, PRODUCTS, SERVICES, TREATMENTS, THERAPIES, OR PROCEDURES. PI HEALTH CANNOT ANSWER UNSOLICITED EMAILS REQUESTING PERSONAL MEDICAL ADVICE. USERS SHOULD ALWAYS CONSULT A HEALTHCARE PROFESSIONAL.

2. Changes to these Terms. We will maintain a current copy of these Terms on the Site. You understand and agree that we may change these Terms at any time. If we make changes to these Terms, we will notify you of such changes (such as by posting a notice on the Site, or if you have provided us with your email, we may send you an email notification). If you have registered an account with respect to the Site, we may ask you to affirmatively consent to the changes at the time of your next account login. If any change to these Terms is not acceptable to you, you shall cease accessing and otherwise using the Site.

3. Privacy. Pi Health respects and values the privacy of users of the Site. Your submission of information through the Site is governed by our Privacy Policy, located at https://www.pihealth.ai. You represent and warrant that any information you provide in connection with the Site is and will remain accurate and complete, and that you will maintain and update such information as needed.

4. Our Ownership of the Site. You expressly acknowledge and agree that, other than User Data, as between you and Pi Health, Pi Health and its affiliates, licensors, and partners, and each of our and their respective successors and assigns (collectively, “Pi Health and Related Parties”) retain sole and exclusive ownership of all worldwide right, title, and interest, including all copyrights, patent rights, trade secret rights, and other intellectual property and proprietary rights, in and to the Site, including all Content and other data, information, reports, software, tools, links, and resources comprising or embodied in the Site or provided through the Site, as well as all technologies used by Pi Health to provide and operate the Site. Other than a limited license to use the Site as provided in Section 6 below, you have and acquire no other right or license with respect to the Site or any portion or component thereof. Unless expressly authorized by applicable law or in writing by Pi Health, you may not copy, reproduce, publicly perform or display, transmit, modify or otherwise create derivative works from, sell, distribute, or otherwise make unauthorized use of the Site or any portion or component thereof. Any unauthorized use of the Site or any portion or component thereof is strictly prohibited and may result in civil and/or criminal penalties. Pi Health and Related Parties reserve all rights not expressly granted herein. There are no implied rights or licenses granted to you under these Terms.

4.1 Content. The Site contains certain features, information, and other material and content, including software, data, text, graphics, and images (collectively, the “Content”). Such Content is protected by United States and foreign intellectual property laws. Unauthorized use of the Content may result in violation of copyright, trademark, and other laws.

4.2 Trademarks. The trademarks, trade names, service marks, service names, logos, and other source or business identifiers (“Marks”) used and displayed on the Site are registered or unregistered Marks of Pi Health or its subsidiaries or affiliates (collectively, the “Pi Health Trademarks”). All Marks on the Site not owned by us are the property of their respective owners. You may not use the Pi Health Trademarks in connection with any product or service that is not ours, or in any manner that is likely to cause confusion. Nothing contained on the Site or otherwise should be construed as granting any right to use any Marks without the express prior written consent of their owner.

4.3 Copyrights. You should assume that all Content is copyrighted unless otherwise noted and may not be used without the express written permission of Pi Health. Except as expressly provided above, nothing contained in these Terms or on the Site shall be construed as conferring any license or right under any Pi Health or third-party copyright. We are not responsible for the content of any linked Third Party Materials and do not make any representations regarding the content or accuracy of any such Third Party Materials. You should take precautions when downloading files from all websites to protect your computer from viruses and other destructive programs. If you decide to access any Third Party Materials, you do so at your own risk.

4.4 Third Party Materials; Links. Certain Site functionality may provide access to information, products, services, and other materials that are made available by third parties, including User Data (“Third Party Materials”), or allow for the routing or transmission of such Third Party Materials, including via links. By using such functionality, you are directing us to access, route, and transmit to you the applicable Third Party Materials. We neither control nor endorse, and we are not responsible for, any Third Party Materials, including the accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness, or safety of Third Party Materials, or any intellectual property rights therein. Certain Third Party Materials may, among other things, be inaccurate, misleading, or deceptive. Nothing in these Terms shall be deemed to be a representation or warranty by Pi Health with respect to any Third Party Materials. We have no obligation to monitor Third Party Materials, and we may block or disable access to any Third Party Materials (in whole or part) through the Site at any time. In addition, the availability of any Third Party Materials through the Site does not imply our endorsement of, or our affiliation with, any provider of such Third Party Materials, nor does such availability create any legal relationship between you and any such provider. YOUR USE OF THIRD PARTY MATERIALS IS SOLELY AT YOUR OWN RISK AND IS SUBJECT TO ANY ADDITIONAL TERMS, CONDITIONS, AND POLICIES APPLICABLE TO SUCH THIRD PARTY MATERIALS (SUCH AS TERMS OF SERVICE OR PRIVACY POLICIES OF THE PROVIDERS OF SUCH THIRD PARTY MATERIALS).

4.5. Social Networking Site. You may share Content from the Site via various online third-party services, such as social media and social networking services (“Social Networking Site”), via the websites or applications of their respective providers (the “Social Networking Provider”). The manner in which the Social Networking Site uses, stores, and discloses your information is governed solely by the policies of the Social Networking Providers, and Pi Health shall have no liability or responsibility for the privacy practices or other actions of such Social Networking Providers or their partners and affiliates. In addition, Pi Health is not responsible for the accuracy, availability, or reliability of any information, content, products, services, data, opinions, advice, or statements made available in connection with any Social Networking Site. Pi Health is not liable for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Social Networking Site. If Pi Health enables any Social Networking Site features on or through the Site, we do so merely as a convenience to you, and the integration or inclusion of such features does not imply our endorsement or recommendation of any such Social Networking Site, the applicable Social Networking Provider, or any of the Content shared.

5. Use of the Site; Grant of License. Subject to these Terms, Pi Health grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited personal license to access the Site for your lawful personal and noncommercial uses. The license granted under these Terms is limited to the Site as described herein and shall not be considered to include any software, product, or service of Pi Health not specified in these Terms. As a condition of your use of the Site, you agree not to: (a) take any action that imposes an unreasonable load on any portion of the Site infrastructure; (b) use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any activity being conducted on the Site; (c) attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising or making up the Site; (d) delete or alter any material posted on or made available through the Site by Pi Health or any other person or entity; or (e) frame or link to any of the materials or information available on or through the Site. You acknowledge and agree that your license to use the Site is automatically revoked upon your attempt to use the Site or any portion thereof for any other purpose other than explicitly authorized herein. No implied license is granted otherwise.

6. User Data. You retain ownership of any communications or material of any kind that you email, post, or transmit through the Site, including data, questions, comments, suggestions, media inquiries, job applications, or the like (“User Data”). User Data will be treated as non-confidential and non-proprietary. IF YOU CHOOSE TO MAKE ANY OF YOUR PERSONALLY IDENTIFIABLE OR OTHER INFORMATION PUBLICLY AVAILABLE ON OR THROUGH THE SITE, YOU DO SO AT YOUR OWN RISK.

6.1 Licenses. You hereby grant Pi Health a non-exclusive, royalty-free, fully paid-up, perpetual, worldwide, irrevocable, transferable, and fully sublicensable (through multiple tiers of sublicensees) right and license to reproduce, transmit, perform and display (publicly or otherwise), creative derivative works of, adapt, modify, disclose, and otherwise use, analyze, and exploit any User Data in accordance with our Privacy Policy, in any format or media now known or hereafter developed, and for any purpose (including promotional purposes, such as testimonials). In addition, if you provide to us any ideas, proposals, suggestions, or other feedback (collectively, “Feedback”), whether related to the Site or otherwise, such Feedback will be deemed User Data, and you hereby acknowledge and agree that such Feedback is not confidential, and that your provision of such Feedback is gratuitous, unsolicited, and without restriction, and does not place Pi Health under any fiduciary or other obligation. You represent and warrant that you have all rights necessary to grant the licenses granted in this Section, and that your User Data, and your provision thereof through and in connection with the Site, are complete and accurate, and are not fraudulent, tortious, or otherwise in violation of any applicable law or any right of any third party. You further irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding each User Data that you may have under any applicable law under any legal theory. We may (but have no obligation to) monitor, evaluate, alter, or remove User Data and analyze your access to or use of the Site. We may disclose information regarding your access to and use of the Site, and the circumstances surrounding such access and use, to anyone for any reason or purpose.

7. Disclaimer of Warranties; Limitation of Liability

7.1 NO WARRANTIES OR REPRESENTATIONS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW: (A) THE SITE, CONTENT, AND THIRD PARTY MATERIALS ARE PROVIDED AND MADE AVAILABLE TO YOU ON AN “AS IS”, “WHERE IS”, AND “WHERE AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, AND (B) PI HEALTH AND RELATED PARTIES DISCLAIM ALL WARRANTIES WITH RESPECT TO THE SITE, CONTENT, AND THIRD PARTY MATERIALS, INCLUDING THE WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. ALL DISCLAIMERS OF ANY KIND (INCLUDING AS SET FORTH IN THIS SECTION OR ELSEWHERE IN THESE TERMS) ARE MADE FOR THE BENEFIT OF BOTH PI HEALTH AND ITS AFFILIATES AND ITS AND THEIR RESPECTIVE AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, AND SUBCONTRACTORS, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS. Without limiting the foregoing, while we try to maintain the timeliness, integrity, and security of the Site, we do not guarantee that the Site is or will remain updated, complete, correct, or secure, or that access to the Site will be uninterrupted. The Site may include inaccuracies, errors, and materials that violate or conflict with these Terms. Additionally, third parties may make unauthorized alterations to the Site. If you become aware of any such alteration, contact us via the “Contact Us” page or feature on the Site and provide a description of such alteration and its location on the Site.

7.2 LIMITATION OF LIABILITY. IN NO EVENT SHALL PI HEALTH AND RELATED PARTIES (WHETHER JOINTLY OR SEVERALLY), BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION, OR DAMAGES INCURRED ARISING FROM THE PURCHASE OR USE OF THIRD-PARTY SUPPLIED INFORMATION, PRODUCTS, AND SERVICES) RESULTING FROM THE USE OR INABILITY TO USE THE SITE AND THE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 STATE LIMITATIONS. SOME U.S. STATES DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, IN SUCH STATES, SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU NOR BE ENFORCEABLE WITH RESPECT TO YOU. IN SUCH STATES, THE LIABILITY OF PI HEALTH AND RELATED PARTIES SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IF ANY PORTION OF SECTIONS 9.1 OR 9.2 ARE HELD TO BE INVALID UNDER APPLICABLE STATE LAW AND APPLY TO THESE TERMS OR YOUR USE OF THE SITE NOTWITHSTANDING THE GOVERNING LAW PROVISIONS HEREOF, THEN THE INVALIDITY OF SUCH PORTION SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PORTIONS OF THE APPLICABLE SECTIONS.

8. Indemnification. To the fullest extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Pi Health and Related Parties from and against any claims, actions, demands, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal and accounting fees) (collectively, “Claim(s)”), arising out of or relating to: (a) your use of, or any of your activities in connection with, the Site or any portion thereof (including in regards to your provision of User Data or otherwise relating to any User Data); or (b) your breach or alleged breach of these Terms. Pi Health shall provide notice to you of any such Claim. Pi Health reserves the right to assume the exclusive defense and control of any Claim, and you agree to reasonably cooperate with any such defense.

9. LIMITATION ON TIME TO FILE CLAIMS. YOU AGREE THAT ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE AGAINST PI HEALTH ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE OR ANY CONTENT OR OTHER INFORMATION PROVIDED ON OR THROUGH THE SITE, MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION OR CLAIM ACCRUES, OR BE PERMANENTLY BARRED.

10. Jurisdictional Issues. The Site is controlled or operated (or both) from the United States and is not intended to subject Pi Health to any non-U.S. jurisdiction or law. The Site may not be appropriate or available for use in jurisdictions outside of the United States. Any use of the Site in such non-U.S. jurisdictions is at your own risk, and you must comply with all applicable laws, rules, and regulations in doing so. We may limit the availability of the Site at any time, in whole or in part, to any person, geographic area, jurisdiction, or other limitation in our sole discretion.

11. Termination of the Terms. These Terms are effective until terminated. Pi Health reserves the right, in its sole discretion, to restrict, suspend, or terminate these Terms and your access to all or any part of the Site or the Content at any time and for any reason (or no reason) without prior notice or liability. Upon any such termination or suspension, your right to use the Site will immediately cease, and Pi Health may, without liability to you or any third party, immediately deactivate or delete your user name, password, and account, and all associated User Data or other materials, without any obligation to provide any further access to such materials. Pi Health reserves the right to change, suspend, or discontinue all or any part of the Site or the Content at any time without prior notice or liability. Except for the license granted pursuant to the first sentence of Section 6, all other terms and provisions of these Terms will survive the termination of these Terms.

12. Compliance with Laws. You are solely responsible for ensuring compliance with the laws of your specific jurisdiction. You expressly agree to comply with any applicable export restrictions under any applicable export control laws and not to export or re-export any of the Content to countries or persons prohibited under such export control laws. By downloading the Content, you are expressly agreeing that you are not in a country where such export is prohibited or are a person or entity for which such export is prohibited. You are solely responsible for compliance with the laws of your specific jurisdiction regarding the import, export, or re-export of the Content.

13. U.S. Government Restricted Rights. The Content is provided with “RESTRICTED RIGHTS”. Use, duplication, or disclosure by the U.S. Government is subject to the restrictions contained in 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq. or its successor. Use of the Site or Content by the U.S. Government constitutes acknowledgement of our proprietary rights in the Site and Content.

14. Arbitration. Except for disputes that qualify for small claims court, all disputes arising out of or related to these Terms or any aspect of the relationship between you and Pi Health, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury, and you agree that Pi Health and you are each waiving the right to trial by a jury. Such disputes include disputes arising out of or relating to interpretation or application of this arbitration provision, including the enforceability, revocability, or validity of the arbitration provision or any portion of the arbitration provision. All such matters shall be decided by an arbitrator and not by a court or judge. YOU AGREE THAT ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as amended by these Terms. The Consumer Arbitration Rules are available online at https://www.adr.org/sites/default/files/Consumer%20Rules.pdf. The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. Any in-person appearances will be held at a location which is reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, such determination will be made by the AAA or by the arbitrator. The arbitrator’s decision will follow these Terms and will be final and binding. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance of these Terms, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court having jurisdiction thereof. Notwithstanding any of the foregoing, nothing in these Terms will preclude you from bringing issues to the attention of federal, state, or local agencies and, if the law allows, they can seek relief against us for you.

15. Filtering. We hereby notify you that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. Information identifying current providers of such protections is available from https://en.wikipedia.org/wiki/Comparison_of_content-control_software_and_providers. Pi Health does not endorse any of the products or services listed on such site.

16. Miscellaneous

16.1 Governing Law. These Terms are governed by the laws of the State of Massachusetts, without respect to its conflict of laws provisions.

16.2 Severability. If any provision of these Terms is found to be unlawful, invalid, or unenforceable by any court having competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

16.3 No Waiver. Failure of Pi Health to act on or enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision in these Terms. No waiver shall be effective against Pi Health unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.

16.4 Entire Agreement. Except as expressly agreed by Pi Health and you, these Terms constitute the entire agreement between you and Pi Health with respect to the subject matter hereof, and supersede all previous or contemporaneous agreements, whether written or oral, between the parties with respect to such subject matter. A printed version of these Terms and of any related notice given in electronic form shall be admissible in arbitral, judicial, or administrative proceedingss based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Pi Health is not liable for protection of privacy of email or other information transferred through the Internet or any other network that you may use.

16.5 Assignment. You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without our express written consent. Pi Health may assign, transfer, or sublicense any or all of our rights under these Terms with no restriction to any party at any time without notice to you. These Terms will inure to the benefit of our successors, assigns, licensees, and sublicensees.

16.6 Electronic Notices. You agree that, where applicable, we may send you notice via email to the email address you have provided, and we are not responsible for your failure to receive notice if email is quarantined by your email security system (e.g., “junk” or “spam” folder) or if you fail to update your email address. You also agree that we may send you notice through the Site.

16.7 Interpretation. The section headings in these Terms are provided merely for convenience and shall not be given any legal import. All terms defined in the singular shall have the same meanings when used in the plural, where appropriate and unless otherwise specified. Any use of the term “including” or variations thereof in these Terms shall be construed as if followed by the phrase “without limitation”.
